Terms that govern your use of Cache

Please read these terms carefully before using our platform. By using Cache, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Cache, Inc. ("Cache," "we," "us," or "our") governing your access to and use of the Cache platform, including our website, applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Cache provides a financial management platform that enables users to:

  • Connect and aggregate financial accounts from multiple institutions
  • View consolidated financial data and transaction history
  • Generate financial reports and analytics
  • Manage budgets, expenses, and financial workflows
  • Access APIs for programmatic integration with other systems

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

To use certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. We reserve the right to refuse registration or cancel accounts at our discretion.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without our permission
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to facilitate money laundering, fraud, or other financial crimes
  • Resell or redistribute the Service without our written consent

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending or terminating accounts, and reporting to law enforcement.

The Service provides tools for viewing and managing financial information. You understand and agree that:

Cache is not a registered investment adviser, broker-dealer, or financial planner. The Service does not provide financial, investment, tax, or legal advice. Any information provided through the Service is for informational purposes only and should not be relied upon as the basis for making financial decisions. You should consult with qualified professionals before making any financial decisions.

Data Accuracy

Financial data displayed in the Service is provided by third-party data aggregators, including Plaid. While we strive to ensure accuracy, we do not guarantee that the data is complete, accurate, or up-to-date. You are responsible for verifying the accuracy of any financial information with your financial institutions.

Third-Party Services

By connecting your financial accounts through Plaid or other integrations, you authorize us to access and retrieve your financial information. Your use of these third-party services is subject to their respective terms and privacy policies.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Cache and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes, subject to these Terms.

You retain ownership of any data you submit to the Service. By submitting data, you grant us a limited license to use, process, and store that data solely for the purpose of providing the Service to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIGGSBY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination:

  • Your right to access and use the Service will immediately cease
  • We may delete your account data in accordance with our Privacy Policy
  • Any outstanding fees will become immediately due and payable

We may suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms. We will make reasonable efforts to notify you before termination, except where we believe immediate termination is necessary to protect our rights or the rights of others.

9. Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising from or related to these Terms or the Service.

10. Dispute Resolution

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Wilmington, Delaware, unless the parties agree otherwise. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
